Please read these Terms of Use ("Terms") carefully before using the Compoid platform, website, and services. By accessing or using Compoid, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Organization for New Occupational Opportunities C.I.C., trading as Compoid ("Compoid", "we", "us", or "our").

By accessing, browsing, or using Compoid's website, platform, APIs, or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using Compoid on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

Account Requirements

To access certain features of Compoid, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Notify us immediately of any unauthorized use of your account
• Take responsibility for all activities that occur under your account

Account Eligibility

You must be at least 18 years old to use Compoid. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this agreement.

Account Security

You are responsible for maintaining the confidentiality of your login credentials. Compoid is not liable for any losses resulting from unauthorized access due to your failure to protect your credentials.

3. Intellectual Property Rights

Our Intellectual Property

Compoid and its licensors own all rights, title, and interest in and to the platform, including but not limited to:

• Software, code, algorithms, and APIs
• Database structure and organization
• Trademarks, logos, and brand assets
• Content, text, graphics, and images (except User Content)
• AI models and machine learning systems

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Compoid platform for permitted purposes
• Search, view, and download publicly available content
• Use our APIs in accordance with our API documentation and rate limits
• Share content on social media using provided sharing tools

Restrictions

You may NOT:

• Copy, modify, or create derivative works of the platform
• Reverse engineer, decompile, or disassemble any software
• Remove any copyright, trademark, or other proprietary notices
• Use the platform for commercial purposes without explicit permission
• Scrape, crawl, or data mine the platform without authorization
• Bypass any security or access control measures

4. User Content & Submissions

Your Content

Compoid allows you to upload, post, or otherwise submit content ("User Content"). You retain ownership of your User Content, but by submitting it, you grant Compoid:

• A worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content
• The right to index, cache, and store your User Content
• The right to make your User Content available to others in accordance with your selected privacy settings

Content Representations

You represent and warrant that:

• You own or control all rights in and to your User Content
• Your User Content does not infringe any third-party rights
• Your User Content is accurate and not misleading
• Your User Content complies with these Terms and applicable laws

Content Moderation

Compoid reserves the right (but has no obligation) to:

• Monitor, review, and remove any User Content
• Refuse or delete any content for any or no reason
• Terminate accounts of users who violate these Terms
• Report illegal activities to appropriate authorities

AI Content Disclosure

Compoid specializes in AI-generated content. Users must:

• Clearly label AI-generated content as such
• Provide attribution to AI models and tools used
• Verify factual claims in AI-generated content
• Take responsibility for reviewing and editing AI output

AI Content Limitations

You acknowledge that AI-generated content may:

• Contain errors, inaccuracies, or outdated information
• Lack the nuance or creativity of human-generated content
• Unintentionally reproduce copyrighted material
• Require human review and verification

No Financial Advice

AI-generated content related to finance, trading, or investments is for educational purposes only and does NOT constitute financial advice. Users should consult qualified professionals before making investment decisions.

7. Licenses & Restrictions

Content Licensing

Content on Compoid may be available under various licenses. Users are responsible for:

• Checking the license terms for each piece of content
• Complying with attribution requirements
• Respecting usage restrictions (commercial, derivative works, etc.)
• Obtaining additional permissions when required

API Usage

Use of Compoid APIs is subject to:

• Rate limits and usage quotas
• Authentication and authorization requirements
• Prohibition on reselling or redistributing API data
• Requirement to display Compoid attribution where applicable

8. Disclaimers & Limitations

No Financial Advice

Service "As Is"

Compoid is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of content
• Interruption-free or error-free operation

Limitation of Liability

To the maximum extent permitted by law, Compoid, its officers, directors, employees, agents, and partners shall NOT be liable for:

• Direct, indirect, incidental, special, or consequential damages
• Loss of profits, data, use, or goodwill
• Personal injury or property damage
• Errors, omissions, or interruptions in service
• Actions of third parties or User Content

Our total liability shall not exceed the amount you paid to Compoid in the 12 months preceding the claim, or £100, whichever is less.

9. Indemnification

You agree to indemnify, defend, and hold harmless Compoid and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in connection with:

• Your use of the Compoid platform
• Your violation of these Terms
• Your User Content or conduct
• Your violation of any third-party rights
• Your violation of any applicable law

10. Termination

By You

You may stop using Compoid at any time by closing your browser or deleting your account. Upon account deletion, your license to use the service terminates immediately.

By Compoid

We reserve the right to suspend or terminate your access to Compoid at our sole discretion, without notice, for any reason, including:

• Violation of these Terms
• Fraudulent or harmful activity
• Inactivity for an extended period
• Business decisions or service modifications

Effect of Termination

Upon termination:

• Your license to use the service immediately ends
• You must stop all use of Compoid
• Provisions that should survive will remain in effect (including intellectual property, disclaimers, and limitation of liability)

11. Governing Law & Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising out of or relating to these Terms or your use of Compoid.

Dispute Resolution

We encourage informal resolution of disputes. If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

Compoid reserves the right to modify these Terms at any time. We will:

• Post the updated Terms on this page
• Update the "Last updated" date
• Provide notice of significant changes via email or platform notification where practicable

By continuing to use Compoid after changes become effective, you accept the modified Terms. If you do not agree to the changes, you must stop using the service before they take effect.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other documents expressly referenced, constitute the entire agreement between you and Compoid regarding your use of the platform and supersede all prior agreements.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be expressed in writing and signed by an authorized representative of Compoid.
